Martin B. Boorstein,
Principal and Advisory Committee Member

Mr. Boorstein has been a principal in Walden Partners Ltd., a merchant bank, since 1992 and, more recently, a founder of Walden Capital Partners. Martin serves as director to several companies including Nexus Holdings, Inc., Iridian, Inc. and Remote Reality, Inc.

In 1988, Martin, as part of an investor group, purchased IM Management Corp., a company that managed a mortgage portfolio of over $800 million, which he operated from 1988 to 1991 as the Chairman and Chief Executive Officer. Prior to, he managed the fixed income and fixed income arbitrage divisions of Rothschild Inc. where he also became active in corporate finance and venture capital. In 1979, he and an investor group purchased and managed QM Productions, a television production company, which they subsequently sold to Taft Broadcasting Company.

Martin began his Wall Street career in 1966 at E.F. Hutton & Co. where he became Fixed Income - National Product Manager and was responsible for the creation of many innovative products. He earned his B.S. at Tulane University and he is a member of the Executive Committees and Board Member of the Association for the Help of Retarded Children (Nassau) and of the Nassau A.H.R.C. Foundation.



John R. Costantino,

Mr. Costantino has been a principal in Walden Partners Ltd., a merchant bank, since 1992 and, more recently, a founder of Walden Capital Partners. John serves as director to several companies including Clayton Acquisition Corporation, Bemiss-Jason Corp., Vox Radio Group L.P., Plymouth Acquisition Corp., and Ameriscape Inc. He also serves on the board of the General Electric Mutual Funds and has served on the boards of a number of public companies including Conair Corp., Brooklyn Bank Corp. and Lancit Media Entertainment LTD. He was formerly a member of the Advisory Board of Republic National Bank. He was a partner in Costantino, Melamede & Greenberg, an investment partnership that acquired and managed a number of companies in manufacturing, distribution and service industries from 1987 through 1992.

In 1985 he became the chief operating officer of Conair Corporation where he was involved in the company's LBO. Previously, he was a managing director of the buyout division of Integrated Resources, Inc., a large financial services company where he was responsible for acquiring a number of companies including Wells Fargo Mortgage Company, the Linde Welding Division of Union Carbide and Brown-Jordan Company. He was also a founding shareholder of European Home Products, P.L.C. John began his professional career in 1970 at Touche Ross & Co. where he became a Senior Tax Partner active in mergers, acquisitions, and venture capital. He also was Managing Partner of the New York office tax practice.

John is both an attorney and Certified Public Accountant earning both his B.S. and J.D. from Fordham University. He is active in a number of charitable organizations including the Neuroscience Research Institute, Fordham University, WNET Channel 13 and Gregorian University Foundation (Rome).



Allen Greenberg,

Mr. Greenberg has been a principal in Walden Partners Ltd., a merchant bank, since 1992 and, more recently, a founder of Walden Capital Partners. Allen serves as director to several companies including Prototype & Plastic Mold, Inc. He was a partner in Costantino, Melamede & Greenberg, an investment partnership that acquired and managed a number of companies in manufacturing, distribution and service industries from 1987 through 1992.

Allen started his career as a certified public accountant in 1976 at Touche Ross & Co., where he became a Tax Partner in 1984. As a leading partner in mergers & acquisitions and international taxation, he worked closely with the management of companies in diverse industries (including communications, electronics, insurance, leasing and entertainment) to strategize and structure many complex transactions. His clients included Reliance Group, The Really Useful Group and The Sea Containers Group.

Allen earned his B.S. and M.B.A. from New York University. He currently serves as an officer and director to The Jerome Robbins Foundation and The Haym Salomon Foundation.



Loren A. Busby loren@waldencapital.com
Loren has been involved in the venture capital industry for over twelve years. At Walden Capital Partners, Loren identifies, structures, negotiates and monitors investments. Prior to joining Walden, Loren was with Princeton University Investment Company and Nassau Capital LLC, where she worked on direct investments in middle-market companies and fund-of-funds investments on behalf of Princeton's endowment. Prior to Nassau, Loren was with Venture Economics, publisher of Venture Capital Journal. While at Venture Economics, she provided consulting services to Fortune 500 executives who needed a window on venture-backed technology companies.

Loren earned a B.S. from Central Connecticut State University and an M.B.A. from Columbia University (McCain Scholar). She is a member of the New York Society of Security Analysts, New York New Media Association, and New York Road Runners Club. She is also a Chartered Financial Analyst.



Matthew P. Guenther matt@waldencapital.com
Matt has been involved in both new investment and portfolio management for Walden Capital Partners since 1999. He has experience in evaluating, structuring and negotiating investment opportunities, as well as monitoring and working with existing portfolio companies. Matt has worked with companies in various technology sectors as well as firms in financial services, communications, and professional services.

Prior to Walden, Matt was at KPMG Consulting in their strategic/financial planning and analysis department. While at KPMG, he was responsible for developing business plans, analyzing acquisition targets and managing strategic initiatives for the consulting practice. Matt began his career at AT&T selling telecommunications networks, and following graduation from business school, returned to AT&T as an analyst in the Global Strata Network Services division.

Matt earned a B.A. in History from Union College and an M.B.A. in Finance and International Business from Columbia Business School.

Peter Carnwath
Mr. Carnwath is the Managing Director of Electra Fleming Inc., the U.S. affiliate of Electra Fleming Ltd., an international fund management company with funds under management in excess of $2.8 billion. Electra Fleming Inc.'s principal client is Electra Investment Trust PLC, a publicly-traded UK investment trust. Electra provides financing to public and private companies in Europe, North America, Latin America and Asia.



Paul B. Guenther
Mr. Guenther was the president of PaineWebber Group and has extensive operational experience in the securities business. Currently, he serves as the Chairman of the Board of the New York Philharmonic as well as the Chairman of the Board of Trustees at Fordham University.
